Master Service Agreement

Enterprise Compliance & Safety Intelligence

Document Ref: CHE-MSA-2026
Confidential

This Master Service Agreement ("Agreement") is entered into by and between **Chemanta** ("Provider") and the entity executing an Order Form ("Client"). This Agreement governs the access to and use of the Chemanta SaaS platform, AI-powered extraction services, and related support (the "Service").

1. Provision of Service

Provider shall provide the Service with reasonable skill and care, consistent with industry standards. The Service is designed to assist professionals in managing Safety Data Sheets (SDS) and chemical safety compliance through AI-driven automation.

Service Level Commitment: Provider aims for 99.9% availability of the Cloud Infrastructure, excluding scheduled maintenance windows notified 48 hours in advance.

2. Professional Responsibility & AI Limitations

Client acknowledges that Chemanta utilizes Artificial Intelligence and OCR technology which, by nature, is probabilistic. Client agrees that:

  • The Service is a decision-support tool, not a replacement for qualified Health, Safety, and Environment (HSE) professionals.
  • Client shall verify all AI-extracted data (H/P phrases, pictograms, CAS numbers) before implementing storage or handling procedures.
  • Provider shall not be liable for any safety incidents resulting from Client’s failure to perform a manual audit of the system’s output.

3. Fees and Financial Terms

Client shall pay all fees specified in the Order Form. Payments are processed via **Paddle.com** (Merchant of Record). Subscriptions are billed in advance. Late payments exceeding 14 days may result in temporary suspension of the Service. All fees are exclusive of VAT or applicable local taxes.

4. Proprietary Rights

Provider retains all rights, title, and interest in the Service, including AI models, algorithms, and UI/UX designs. Client is granted a non-exclusive, non-sublicensable license to use the Service for internal business operations only. Client retains all rights to the SDS files and chemical data uploaded to the system.

5. Confidentiality

Each party agrees to protect the other party's Confidential Information with the same degree of care it uses for its own. "Confidential Information" includes chemical manifests, pricing terms, and proprietary software logic. This obligation survives for three (3) years after the termination of this Agreement.

6. Mutual Indemnification

Provider shall defend Client against any claims that the Service infringes third-party intellectual property rights. Client shall defend Provider against claims arising from Client’s misuse of the Service or violation of chemical safety regulations resulting in environmental or personal harm.

7. Term and Termination

This Agreement starts on the Effective Date and continues until all subscriptions expire. Either party may terminate for material breach with a 30-day notice. Upon termination, Client’s access to the Service will be revoked, and data will be handled as per the Privacy Policy.
